Proposed Bylaw Amendments for the LCHS Board of Directors

The LCHS Board of Directors have proposed two changes to our bylaws. The proposed changes to 4.07 would allow the Board to adjust the Directors’ ending terms more evenly. The proposed changes to 4.08 would clarify that exiting board members can reapply after one year’s absence.

4.07 Current Bylaw:

Directors shall be elected for terms of two years, serving staggered terms whenever possible with a portion of directors elected in even-numbered years and apportion of directors elected in odd-numbered years.

4.07 Proposed Change:

The term of a Director serving on the Board as of Monday, December 9th, 2024, shall be adjusted such that terms of half of the Directors shall expire on December 31, 2024, and terms of the other half of the Directors shall expire on December 31, 2025.  The initial term of a Director elected after Monday, December 9th, 2024, shall run from the date of the Director’s election until December 31 of either the next even year following the year of the Director’s election or the next odd year following the year of the Director’s election, such that terms of Directors shall be staggered to the fullest extent possible. If at the time of a Director’s election, there are more Directors serving terms expiring in even years than odd years, the Director’s initial term shall expire on December 31 of the next odd year following the year of the Director’s election. If at the time of a Director’s election, there are more Directors serving terms expiring in odd years than even years or there are equal numbers of Directors serving terms expiring in even and odd years, the Director’s initial term shall expire on December 31 of the next even year following the year of the Director’s election.

Subsequent terms of any Director shall be two years.

4.08 Current Bylaw:

Members of the Board may serve three consecutive voting terms and may be returned to the Board only after the lapse of one year from the end of their third term. When a director is completing a term for a resigned or dismissed director, that term shall be considered a full term. A director completing a term for a resigned or dismissed director shall be eligible for the next two consecutive terms without lapse of service.

4.08 Proposed Change:

Members of the Board may serve three consecutive full voting terms. After leaving the Board due to operation of this section or for any other reason, a former member of the Board may be returned to the Board only after the lapse of one year from the conclusion of the former member’s prior service, whether that prior service is in a voting or ex-officio capacity. A term shall be considered a full term if it is greater than twelve months in length, or, when a director is completing a term for a resigned or dismissed director, if more than twelve months remain in the term at the time the new director assumes the office.
